The Supervisory Board of the DOT officially commenced its operations on October 31, 2024.
During the Board’s initial meetings, key organizational decisions were made, including:

the election of the Chair of the Supervisory Board, Nadia Bihun,
-
the establishment of two main committees – Audit and Remunerations.
One of the Board’s primary tasks was to improve the current DOT Statute. To align with international standards of corporate governance, the Supervisory Board reviewed several aspects that require revision.
Particular attention was given to the following issues:

ensuring a balance of powers between the Supervisory Board, the DOT’s management, and external bodies,
-
enhancing the Board’s autonomy,
-
improving the procedures for appointing and dismissing executives within the Board’s authority.
To address these challenges, a working meeting was held with Deputy Minister of Defence of Ukraine Dmytro Klimenkov. As a result of this meeting, an agreement was reached to jointly develop proposals for amendments to the Statute.
These amendments will:

comply with OECD corporate governance principles,
-
take into account challenges related to national security.
The Supervisory Board is confident that the proposed amendments to the Statute will enhance the transparency and efficiency of the DOT management, while also ensuring the alignment of governance practices with modern international standards.
